Sell-side assistance for entertainment company
- Financial due diligence procedures with consulting services related to transaction and income tax structuring opportunities associated with the deal.
Acquisition of manufacturing and distribution company
- Due diligence procedures on behalf of acquirer with respect to target financial statements, including procedures related primarily to the costing of food products, including consistency and quality concerns.
Acquisition of specialty global manufacturing and distribution enterprise
- Domestic and Chinese due diligence activities, which were focused on identification of unusual and non-recurring EBITDA adjustments associated with various matters including improper inventory valuation and revenue recognition issues. Provided critical tax consultation designed to minimize tax consequences associated with the Chinese subsidiaries.

Sell-side assistance for specialty pharmacy groups
- Worked closely with a regional investment banking firm in positioning three independently owned and operated companies as a platform acquisition for a private equity group. Conducted an assessment of critical accounting and tax matters to be addressed prior to entering into an exclusivity arrangement with one possible acquirer, and assisted target companies in preparing for extensive financial due diligence activities. Provided on-going assistance throughout the entire acquisition process.
Acquisition of logistics company
- Highly complex tax structuring and planning services, financial due diligence procedures focused on assessing the quality of earnings and the debt service capabilities of the target, and consulting services concerning the many tax opportunities associated with the transaction.
Acquisition of building materials company
